1. Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("you," "your," "User") and CircleHalo ("Company," "we," "us," "our") concerning your access to and use of our software-as-a-service platform, website, applications, and related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to all of these Terms, you must not access or use the Platform.

You represent and warrant that you are at least 18 years old, or the age of legal majority in your country, and fully capable of entering into a binding contract with CircleHalo.

2. Changes to Terms

We may revise, modify, or update these Terms from time to time at our sole discretion. Revised Terms become effective immediately upon posting on the Platform, and we will update the "Last Updated" date at the top of this page. By continuing to use the Platform after revised Terms are posted, you accept and agree to those changes. You are responsible for reviewing these Terms periodically.

3. Platform Access and Account Security

3.1 Limited license

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for your internal business purposes, subject to these Terms. We reserve the right to restrict, suspend, or discontinue any part of the Platform, or your access to it, at any time, without notice, for any reason, including any violation of these Terms.

3.2 Account registration and responsibility

To access certain features, you must register for an account and provide accurate, current, and complete information. You agree to:

Maintain and promptly update your registration details and other account information.
Safeguard your account credentials, including passwords and security tokens, and immediately notify us of any suspected unauthorized use or security breach.
Accept responsibility for all activities that occur under your account, whether or not you personally authorized them.

3.3 Third-party integrations

Our Platform enables you to connect with third-party services such as Etsy, Amazon, Shopify, and payment processors through APIs and related integrations. By using these integrations, you:

Authorize CircleHalo to exchange data with those third parties on your behalf.
Agree to comply with the terms of service and privacy policies of the third-party providers you connect.
Acknowledge that we are not responsible for the performance, downtime, security, or operational changes of any third-party platform.

Etsy integration

You authorize CircleHalo to access and process your Etsy shop data through Etsy's official API in order to provide the Services.
You grant CircleHalo permission to store and use Etsy API tokens and credentials solely to synchronize orders and support fulfillment workflows.
You are responsible for maintaining the security of your Etsy account and ensuring CircleHalo has the necessary permissions.
You agree to comply with Etsy's API Terms of Use, Etsy's Terms of Use, and Etsy's Privacy Policy.
You understand that CircleHalo processes Etsy Member personal information only to fulfill the services provided under our application terms with you, and that you remain the Data Controller for your end-customer data.
CircleHalo will display Etsy listing content no more than six (6) hours older than the corresponding information on the Etsy Site, and other Etsy content no more than twenty-four (24) hours older than the content displayed on the Etsy Site.

Shopify integration

You authorize CircleHalo to access your Shopify store data through Shopify's GraphQL Admin API (version 2026-01) and webhook system.
You grant CircleHalo permission to store and use OAuth access tokens and API credentials solely for synchronizing order data and providing the Services.
You are responsible for maintaining the security of your Shopify store and ensuring CircleHalo has the appropriate permissions.
You agree to comply with Shopify's Partner Program Agreement, Acceptable Use Policy, and API License and Terms of Use.
CircleHalo will process mandatory GDPR webhooks, including customers/data_request, customers/redact, and shop/redact, as required by Shopify App Store requirements.
You understand that CircleHalo acts as a Data Processor for Shopify order data, and that you remain the Data Controller for that data.

3.4 Data synchronization and accuracy

When using third-party integrations, including Etsy and Shopify:

You are responsible for ensuring that synchronized data between your connected platforms and CircleHalo is accurate and consistent.
CircleHalo uses commercially reasonable efforts to maintain accurate data synchronization, but we do not guarantee real-time sync or error-free synchronization.
You acknowledge that synchronization depends on the availability and performance of third-party APIs, which may experience downtime, rate limits, or changes.
You agree to notify CircleHalo promptly of discrepancies or errors in synchronized data.
CircleHalo reserves the right to suspend or terminate data synchronization if we detect inconsistencies, API abuse, or violations of these Terms or applicable third-party terms.

Etsy data freshness requirements

CircleHalo will display Etsy listing content no more than six (6) hours older than the corresponding information on the Etsy Site or Etsy Apps.
CircleHalo will display other Etsy content no more than twenty-four (24) hours older than the content displayed on the Etsy Site or Etsy Apps.
Once Etsy content has been accessed, stored, or displayed, CircleHalo will not cache or store it longer than reasonably necessary to provide service to your account.

4. Intellectual Property Rights

All content available on the Platform, including software, designs, text, graphics, logos, images, audio, video, and branding, is the exclusive intellectual property of CircleHalo or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, republish, upload, post, transmit, distribute, or otherwise exploit any part of the Platform without our prior express written permission.

5. Trademarks

The name "CircleHalo," the CircleHalo logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CircleHalo or its affiliates or licensors. You may not use such marks without our prior written permission. All other trademarks appearing on the Platform are the property of their respective owners.

Etsy is a trademark of Etsy, Inc. This application uses Etsy's API but is not endorsed or certified by Etsy, Inc.

6. User Content and Data

6.1 Submission of content

The Platform may allow you to upload, submit, or display content, including comments, profiles, images, feedback, and product-related data ("User Content"). You retain ownership of any intellectual property rights you hold in your User Content.

6.2 License grant to CircleHalo

By submitting User Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works, display, and perform your User Content in connection with operating, promoting, and improving the Platform and our business.

6.3 Content standards

Your User Content must not, in our sole determination:

Violate any applicable law, regulation, or third-party rights, including intellectual property or privacy rights.
Be defamatory, fraudulent, obscene, harassing, hateful, or otherwise objectionable.
Contain viruses, worms, harmful code, or other material designed to interrupt, destroy, or limit the functionality of any software or hardware.

We reserve the right, but not the obligation, to monitor, remove, or refuse any User Content at our sole discretion and for any reason.

6.4 Connected platform data use restrictions

When you connect third-party platforms, including Etsy and Shopify, you acknowledge and agree that CircleHalo will access and process order and related data only to provide the Services. In particular:

CircleHalo does not use order data obtained from connected platforms for advertising, third-party marketing, resale, profiling, or licensing.
CircleHalo does not use order data obtained from connected platforms to train artificial intelligence or machine learning models.
CircleHalo stores tokens and credentials securely and uses them only to maintain the integration and provide the Services.

Etsy-specific restrictions

CircleHalo does not use Etsy order data for advertising, third-party marketing, resale, profiling, licensing, or for training artificial intelligence or machine learning models.
CircleHalo does not collect, scan, or request Etsy content for analytics, machine learning, AI training, licensing, or content removal unless Etsy expressly authorizes it in writing.
CircleHalo does not use automated systems or browser extensions to access, analyze, or scrape the Etsy Site, the Etsy API, or any Etsy data unless Etsy expressly authorizes it in writing.
CircleHalo requests only the minimum amount of Etsy API data needed to provide the intended Services.

6.5 Shopify data and GDPR compliance

CircleHalo will process GDPR compliance requests received through Shopify webhooks in accordance with applicable data protection laws and Shopify App Store requirements.
Customer deletion requests received through customers/redact will be processed within 30 days, with personal information anonymized while preserving accounting-related order records.
Shop deletion requests received through shop/redact will be processed within 48 hours as required by Shopify App Store compliance requirements.
You remain responsible for ensuring that your use of CircleHalo and your processing of customer data comply with applicable data protection laws, including GDPR, CCPA, and KVKK.
CircleHalo will reasonably assist you in fulfilling data subject rights requests related to Shopify order data where possible.

7. Monitoring, Suspension, and Termination

We have the right, but not the obligation, to monitor your use of the Platform and User Content. We may suspend or terminate your account and access to the Platform, or remove content, at any time, with or without notice, particularly if we believe you have violated these Terms.

Upon termination, all rights granted to you under these Terms immediately cease. Any obligations, liabilities, or provisions accrued prior to termination survive termination.

Etsy-specific termination

If you disconnect your Etsy shop, CircleHalo will immediately stop data synchronization and delete associated API credentials.
Upon Etsy disconnection, CircleHalo will no longer access your Etsy data through the Etsy API.
If Etsy terminates your shop or your API access, CircleHalo may suspend or terminate your access to Etsy-related features.
If CircleHalo no longer wishes to maintain the Etsy integration, we will provide at least thirty (30) days' prior written notice and maintain the integration during that notice period.

Shopify-specific termination

If you disconnect your Shopify store or Shopify sends a shop/redact webhook, CircleHalo will immediately revoke API access and stop data synchronization.
Upon Shopify disconnection, API credentials will be deleted immediately. Order data will remain subject to our standard retention policy unless deletion is requested or required by a Shopify webhook.
If Shopify terminates your store or your app installation, CircleHalo may suspend or terminate your access to Shopify-related features.

8. Copyright Infringement Claims

If you believe any content on the Platform infringes your copyright, you must send us a written notice compliant with applicable copyright law, such as the Digital Millennium Copyright Act or equivalent laws in other jurisdictions. Upon receipt and verification, we will take appropriate action, which may include removing or disabling access to the allegedly infringing content.

9. Platform Updates and Changes

We may update, modify, or add new features and functionality to the Platform from time to time. You agree that we are not obligated to continuously update or maintain every feature. The Platform may experience downtime or outages, and we are not liable for any loss or damage arising from changes, suspension, or discontinuation of any part of the Platform.

Third-party API changes

You acknowledge that Etsy, Shopify, and other third-party providers may change, update, suspend, or discontinue their APIs at any time, which may affect the functionality of the Services.
CircleHalo will use commercially reasonable efforts to implement and use the most current version of third-party APIs where appropriate, which may require Platform updates.
CircleHalo is not liable for any impact these changes may have on the Services, including any effect on your use of the Platform.

10. Data, Privacy, and Security

Your collection, processing, storage, and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms. By using the Platform, you consent to our processing of your data in accordance with that policy.

While we implement reasonable technical and organizational security measures to protect your data, we cannot guarantee complete security for data transmitted over the internet. You accept the inherent security risks of transmitting data online and using a cloud-based service.

Etsy API and security

CircleHalo uses Etsy's official API and industry-standard security measures to protect Etsy API credentials.
You are responsible for maintaining the security of your Etsy account and promptly revoking CircleHalo's access if you suspect unauthorized use.
CircleHalo will not share your Etsy API credentials with third parties except where necessary to provide the Services or required by law.
You acknowledge that CircleHalo's access to your Etsy shop is subject to Etsy's API rate limits and terms of service.
If any Etsy Member data accessed via the Etsy API is compromised or suspected to be compromised, CircleHalo will promptly notify Etsy at [email protected] and you, and in no event later than 24 hours after discovery of the breach.

Shopify API and security

CircleHalo uses Shopify's GraphQL Admin API (version 2026-01) and implements industry-standard security measures to protect OAuth tokens and API credentials.
You are responsible for maintaining the security of your Shopify store and promptly revoking CircleHalo's access if you suspect unauthorized use.
CircleHalo will not share your Shopify API credentials with third parties except where necessary to provide the Services or required by law.
You acknowledge that CircleHalo's access to your Shopify store is subject to Shopify's API rate limits and terms of service.

11. Subscription, Fees, and Payments

Fees and Billing: Access to certain features may require payment of subscription or usage fees. Fees are due in advance as specified on the Platform.
Non-Refundable: Except where expressly stated otherwise or required by applicable law, fees paid are non-refundable.
Price Changes: We reserve the right to change pricing, add fees, or modify features at any time. We will provide reasonable advance notice of significant price changes.
Taxes: You are responsible for fees, taxes, or charges associated with your purchase and use of the Services, including transaction or payment processing charges.

12. Cancellation and Refunds

Cancellation: You may cancel or downgrade your subscription at any time using the mechanism provided within the Platform. Access typically continues until the end of the current billing period.
Refunds: We generally do not provide refunds or credits for partial subscription periods, unused platform time, or downgrades, except at our discretion or where required by mandatory law.

13. Data Deletion Policy

Upon your request or upon account termination, we will permanently delete or anonymize your account and associated data within a reasonable timeframe, such as 30 days, consistent with our Privacy Policy. We may retain limited information, including billing, audit, and log data, where required to comply with legal obligations, enforce agreements, or support internal business purposes.

Etsy data deletion

Upon disconnection of your Etsy shop, Etsy API credentials will be deleted immediately and synchronization will stop.
Order data imported from Etsy remains subject to our standard retention policy unless you request deletion, subject to legal and accounting requirements.
Etsy listing content will not be cached or stored longer than reasonably necessary to provide service to your account and will be displayed no more than six (6) hours older than the corresponding information on the Etsy Site.
Other Etsy content will not be cached or stored longer than reasonably necessary to provide service to your account and will be displayed no more than twenty-four (24) hours older than the content displayed on the Etsy Site.

Shopify data deletion

Upon disconnection of your Shopify store, API credentials will be deleted immediately. Order data remains subject to our standard retention policy unless deletion is requested.
If Shopify sends a shop/redact webhook, all Shopify-related data will be deleted within 48 hours as required by Shopify App Store compliance requirements.
Customer deletion requests received through Shopify webhooks will be processed within 30 days, with personal information anonymized while preserving order records for accounting and legal purposes.

14. Geographic Restrictions

The Platform is controlled and operated from Turkey. We make no representation that the Platform is appropriate or available in every location. Users who access the Platform from jurisdictions where its content or use is unlawful do so at their own initiative and risk and are solely responsible for compliance with applicable local laws.

15. No Warranties

THE PLATFORM AND ALL CONTENT, FEATURES, SERVICES, INFORMATION, AND MATERIALS PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You assume all risks associated with use of the Platform.

Third-party platform disclaimers

CircleHalo does not warrant that Etsy, Shopify, or any other third-party platform will be continuously available, error-free, or that synchronization will occur without interruption.
We are not responsible for changes to third-party APIs, webhook systems, or terms of service that may affect the functionality of the Services.
You acknowledge that third-party providers may modify, suspend, or discontinue APIs or features CircleHalo depends on, and CircleHalo is not liable for any resulting impact on the Services.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CIRCLE HALO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM EXCEED THE AMOUNTS YOU PAID US IN THE LAST TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR SUCH OTHER AMOUNT AS REQUIRED BY APPLICABLE LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless CircleHalo, its officers, directors, employees, agents, licensors, and affiliates from and against all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Platform, your breach of these Terms, your User Content, or your violation of any third-party rights.

You further agree to indemnify CircleHalo for claims, damages, or liabilities arising from:

Your violation of Etsy's API Terms of Use, Etsy's Terms of Use, or Etsy's Privacy Policy.
Your violation of Shopify's Partner Program Agreement, Acceptable Use Policy, or API License and Terms of Use.
Your failure to comply with data protection laws in connection with Etsy Member data, Shopify order data, or customer information.
Any unauthorized access to or use of your Etsy shop, Shopify store, or API credentials.

18. Governing Law & Dispute Resolution

These Terms and your use of the Platform are governed by and construed in accordance with the laws of Turkey, without regard to conflict of laws principles.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively in the courts of Turkey, and you consent to the personal jurisdiction of those courts.

19. Time Limit for Claims

To the fullest extent permitted by law, any claim or cause of action arising out of or relating to these Terms or the Platform must be filed within one (1) year after the cause of action accrues. Otherwise, that claim or cause of action is permanently barred.

20. Severability and Waiver

If any provision of these Terms is found invalid, illegal, or unenforceable by a court or arbitrator, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision in these Terms will not operate as a waiver of that right or provision.

21. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or terms referenced in them, constitute the entire agreement between you and CircleHalo concerning your use of the Platform and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
